1. General

3. User and password

To access the Platform and use the Services, you must have a user name and password. When registering you must provide personal information, including your e-mail address. For the avoidance of doubt, these Terms and Conditions apply to all users of the Web portal.

You agree that the information provided at registration will be truthful, accurate and complete. It is your responsibility to inform us of any changes to such information.

You are entirely responsible for all activities that occur while using your login information, including payment in advance to Ace Usa Top Up LLC for any Services purchased.

You must notify us immediately if you become aware of any unauthorized use of your Access Data. If you forget or lose your Access Data, you must request a new password by visiting the “Forgot your password” section at recharge.ace-topup.com/reset/password. Access Data can only be used by a single user and is not transferable.

4. Your Data

Ace Usa Top Up LLC will comply with all of its obligations under applicable data protection law with respect to relevant data in its possession relating to you.

Please note that data sent to Ace Usa Top Up LLC by e-mail over the Internet may not be secure and may be intercepted by third parties or misdirected. You should not disclose personal information over the Internet unless you use secure or encrypted communication technology.

We will be permitted, but not obligated, to record any communications or instructions you give to us, or messages we send to you through the website.

5. Your Instructions

You will ensure that any instructions you give us through the Website are accurate and complete and, where applicable, correctly identify the cell phone number, account number or access account into which any top-up is to be paid. In particular, before confirming any instruction to us, you must ensure that the instruction returned to you confirming the instruction you submit through the Website is the instruction you intend to give. We are entitled to rely on any instruction from you using and, for the avoidance of doubt, the processing by us of any such confirmed instruction will be final and invoiced by Ace Usa Top Up LLC to you.

6. Your Obligations

You agree with us to comply strictly with this Agreement. You acknowledge that your compliance with this Agreement is designed to minimize the risk of unauthorized use of the Website.

7. Transactions on Your Account

You authorize Ace Usa Top Up LLC to act on any Account debit instructions received through the Website that have been transmitted using the username and password and/or any other authentication process that we may require to be used in connection with the Website without further authentication or investigation by us, and all such debits will constitute your responsibility.

Recharge service will only be provided to you by Ace Usa Top Up LLC with respect to the cell phone carriers available on the Website, which are subject to change and availability. In the case of cell phone top up or DTH top up, you will be required to enter the cell phone number or account number to which any top up is to be credited in the relevant space on the Website. It is your responsibility to ensure that you have entered the number correctly. You will then need to select the amount of the recharge you wish to credit to that cell phone number or account number.

The recharge is instantly sent by Ace Usa Top Up LLC to the corresponding number or access account upon payment. Occasionally, there may be a short delay before the recharge is applied by the relevant mobile operator. You are obligated to issue to the sending customer an appropriate receipt in accordance with the Agreement and applicable local laws.

You agree and understand that Ace Usa Top Up LLC is acting only with your authorization to send Top-Ups and that the applicable mobile operator will be solely liable to the recipient of the Top-Up for the provision of services related to the Top-Up. Once the top-up is sent to a cell phone number, account number or access account, it can be used immediately and therefore cannot be refunded or removed. To prevent this error from occurring, Ace Usa Top Up LLC asks you to confirm through the order summary that the cell phone number, account number or email address you have entered is correct.

The Website may only be used by you to effect a limited number of Top-Ups and/or Top-Ups at a limited value during specified periods of time. You will be automatically notified through the Website when these limits are reached or if you attempt to make Top-Ups in excess of the limits. Other limits and exclusions may apply to how you may use this Website from time to time and you will be notified of them through your use of the Website.

For the avoidance of doubt, pursuant to your Agreement, you and/or the Primary User shall be solely responsible for any fraudulent activity and resulting effects occurring on your system or access to the portal, if you are using the Ace Usa Top Up LLC portal, including any loss incurred to your Ace Usa Top Up LLC account balance and your Account balance.

8. Termination of the Agreement

We may terminate the Agreement and withdraw the Web Site and the Services provided through it

1. in accordance with the terms of your Agreement;
2. immediately upon your breach of any of the terms of this Agreement and provided that you are informed by written notice as soon as reasonably practicable after termination;
3. immediately upon your inability to pay amounts due or other contractual inability;
4. if you have not accessed the Website for a period of twelve (12) consecutive months; or
5. if we reasonably believe that the Website or any of the Services have been used in a negligent, unlawful or fraudulent manner by you, or by a third party as a result of your negligence or recklessness.

We reserve the right to prosecute or cancel any ongoing transaction in the event of termination of these Terms and Conditions or suspension or withdrawal of the Services. We shall not be liable for any loss you may incur as a result of any transaction not processed as part of the Services following termination of these Terms and Conditions or following any suspension or withdrawal of the Services.

9. Your contribution

When you send us any comments, suggestions, ideas or other material in connection with or through our website or the Services, you agree that we may use, reproduce, publish, modify, adapt and transmit them to third parties free of charge and without restriction, subject to our obligations in the Privacy Notice and Cookie Policy.

10. VAT and Taxes

No fees, surcharges or any additional amount may be added to this total amount unless expressly agreed to by Ace Usa Top Up LLC.

11. Access to the website

Access to and use of this website is at the user's own risk and we do not represent or warrant that use of this website or any material downloaded from this website will not cause damage to property, including but not limited to loss of data or infection by computer viruses. We reserve the right to modify these General Terms and Conditions at any time. These changes will be reflected on our website and may be sent to you by e-mail upon request within 14 days. You shall be entitled, upon notice of any alteration to these Terms and Conditions, to terminate these Terms and Conditions immediately, but without prejudice to any rights or obligations that may have arisen prior to the date of termination, including your liability for any indebtedness on any Ace Usa Top Up LLC Account.

You will ensure that all information obtained by you from us in connection with our operations, services, pricing, software, hardware and/or systems in connection with these Terms and Conditions will be treated by you in the strictest confidence and will not be disclosed by you to any third party or used by you for any purpose other than for the performance of your obligations under these Terms and Conditions.

15. Intellectual Property

You may only download, use, display and view the Website (and the Intellectual Property Rights contained therein) for the sole purpose of using the Services and in accordance with these Terms and Conditions. Unless otherwise specified, the Intellectual Property Rights and the contents of the Website are owned by Ace Usa Top Up LLC. or its licensors. Reproduction, copying, modification, alteration or adaptation of part or all of the contents of the Website (including any Ace Usa Top Up LLC. graphics or trademarks) in any form is prohibited without the prior consent of Ace Usa Top Up LLC.

Ace Usa Top Up LLC owns all Intellectual Property Rights that exist in the words “Ace Usa Top Up LLC”, “ACETOPUP” and any accompanying logos. Ace Usa Top Up LLC also owns all Intellectual Property Rights in the domain name www.ace-topup.com and recharge.ace-topup.com. Ace Usa Top Up LLC takes cybersquatting very seriously. 16. Temporary Withdrawal of Service

In the event of any interruption or failure, unavailability, breakdown or malfunction of, or connected to, any product or system used in connection with the Website or the Services, or where there is an actual or potential security risk, Ace Usa Top Up LLC shall be entitled, without incurring any liability to you, to temporarily suspend the relevant Services or access to the Website for such reasonable period as may be necessary to remedy, address or resolve the problem. Ace Usa Top Up LLC may also suspend the Website and/or the Services as necessary to perform maintenance (whether emergency or planned) or upgrade work. You further agree and acknowledge that your access to the Website and/or Account and/or Services may be suspended upon Ace Usa Top Up LLC's reasonable belief that it has been misused, unlawfully or fraudulently.

17. Force Majeure

Ace Usa Top Up LLC shall not be liable for and shall not be in breach of its obligations under these Terms and Conditions if there is any total or partial failure to perform our duties and obligations occasioned by any act of God, fire, an act of government or state, war, civil commotion, insurrection, sanction, embargo, inability to communicate with third parties for any reason whatsoever, failure of any trading or settlement computer system, failure or delay of any mobile telephone network, hindrance or obstruction in obtaining any power or other supply (including call time), labor disputes of any nature, late or erroneous payment by an agent or any other reason (whether or not similar in nature to any of the foregoing) beyond our control.

18. Security, Maintenance and Availability

You agree, acknowledge and accept that electronic communications, the Internet, telephone lines or SMS-based means of telecommunications may not be secure and that communications through such means may be intercepted by unauthorized persons or improperly delivered. Accordingly, we cannot guarantee the privacy or confidentiality of communications through such means, although Ace Usa Top Up LLC will put in place appropriate security measures to protect these methods of communication.

From time to time it may be necessary or desirable for security, maintenance, upgrades or other reasons:

1. to make the Website or some or all of the Services unavailable to you; and/or
2. delay the implementation of new Services; and/or
3. withdraw, replace or reissue passwords; and/or
4. change the authentication procedures or processes for accessing the Website or the Services and, while we will use reasonable endeavours to minimise any inconvenience we may cause you, you accept that such events may occur and that we have no liability to you in the event of any such occurrence. 19. Limited liability

Ace Usa Top Up LLC assumes no liability for any improper, immoral, unauthorized, fraudulent or illegal use of the Website. Without prejudice to its rights and/or the rights of the Primary User under the Agreement, Ace Usa Top Up LLC, its directors, employees, officers or agents exclude all liability for any amount or kind of loss or damage which may result to you or any third party (including Ace Usa Top Up LLC without limitation any indirect, incidental, special or consequential, exemplary or punitive loss or damage or any loss of income, money, data or goodwill) arising out of or in connection with your use of the Website or the Services. This does not in any way limit our liability for death or personal injury caused by our negligence or for any other matter for which it would be unlawful for us to exclude our liability.

Ace Usa Top Up LLC's total liability in contract, tort (including Ace Usa Top Up LLC's negligence or breach of statutory duty), or misrepresentation, restitution, or otherwise, arising out of or in connection with these Terms and Conditions shall be limited to the then-applicable Account balance.

You agree and acknowledge that the Website and the Services and content provided through the Website are provided on an “as is” basis. To the fullest extent permitted by law, Ace Usa Top Up LLC makes no warranties regarding the use and availability of the Website or the Services provided through the Website.

20. Agency

You will not represent yourself as an agent of Ace Usa Top Up LLC for any purpose, nor will you pledge the credit of Ace Usa Top Up LLC or give any condition or warranty or make any representation on behalf of Ace Usa Top Up LLC or bind Ace Usa Top Up LLC to any legal obligation or contract and you may not subcontract or assign any of your rights or obligations under these Terms and Conditions without the prior written consent of Ace Usa Top Up LLC.

21. Governing Law

All relationships established by us with you prior to the entry into these Terms and Conditions, and these Terms and Conditions, shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, and the courts of Chester County in the Commonwealth of Pennsylvania shall have exclusive jurisdiction to resolve any disputes in connection therewith.

Any waiver by us of a breach or default of any of the provisions of these Terms and Conditions shall not be construed as a waiver of any subsequent breach of the same or other provisions, nor shall any delay or failure by us to exercise or take advantage of any right, power or privilege we have or may have, be construed as a waiver of any breach or default by you.

No waiver of a breach or default of any of the provisions of this Agreement shall be construed as a waiver of any subsequent breach of the same or other provisions, nor shall any delay or omission by Ace Usa Top Up LLC in exercising or availing itself of any right, power or privilege be construed as a waiver of any breach or default by you.
